MATTER:

Reorganizing group of companies for better optimization (2011 – 2013)

BACKGROUND:

Client is a Japanese-invested company duly incorporated under laws of Vietnam whose parent company is a  Japanese multinational conglomerate headquartered in  TokyoJapan. Its diversified products and services include power, industrial and social infrastructure systems, elevators and escalators, personal computersconsumer electronicshome appliances, and medical equipment…(“Japanese Producer”).

In 1996, the Japanese Producer invested into Vietnam market under a joint venture (“JVC”) with a Vietnamese-owned company. In 2006, Japanese Producer acquired the Vietnamese Partner’s shares, converted the JVC into the FOE and extended the investment term.

In 2011, the Japanese Producer decided to restructure their supply chain in Southeast Asia market, among those, Vietnam was one of the most important markets. Client hired ATIM LAW FIRM to provide legal advices and supports to help them implement the parent company’s policy smoothly without any interruption in their business operation in Vietnam.

CHALLENGES AND SOLUTIONS:

The global business environment, in general, has changed at an accelerated pace thanks to the development of technology and competition. Climate changes have also impacted on the global economy. As a result, most giant corporations restructured to adapt to the new situation. In that regard, cost cutting and cost optimization measures were choices for Client’s operation in Vietnam. Hence, the Japanese decided to merge all businesses of consumer products including home appliances and electronics into a single legal entity in Vietnam market. The two new challenges rose that the two existing companies had been located in different provinces and how to minimize the impact on the companies’ operation during the merger.

SERVICES AND RESULTS:

ATIM LAW FIRM had successfully supported Client to execute this complex project with the following acts:

  • performed the merged project and converted the two legal entities into single one located in Ho Chi Minh City and all other branches, representative offices nationwide;
  • implemented resignation for some employees whom Client couldn’t assign any new job/position in the new structure;
  • renewed the land lease contract to maintain factory operation;
  • renovated all supply chain contracts;
  • updated all IP rights for the new legal entity.
